Established: July 10, 2026 / Revised: July 18, 2026

These Terms of Service (the "Terms") set out the conditions for using the cloud services (the "Service") provided by Nojima Giken (the "Company"). Customers who subscribe (the "Users") must agree to these Terms before using the Service.

These Terms apply in common to each of the following services provided by the Company. For matters specific to an individual service, the help, pricing page and Notation under the Specified Commercial Transactions Act of that service take precedence.

① Flexsys (business management SaaS: estimates, invoices, receipts, customer management, daily sales reports, etc.)

② Nojima Well Diagnosis System (geological AI diagnosis and site management for well drilling businesses)

Article 1 (Definitions)

The terms used in these Terms are defined as follows.

① "Service": the collective name for the cloud services listed above provided by the Company, and the individual services actually contracted by the User.

② "User": a corporation or individual who has agreed to these Terms and entered into a usage agreement with the Company.

③ "Tenant": the company or organization-level data area that a User creates on the Service.

④ "Administrator (Owner)": the User who creates the Tenant and manages its settings.

⑤ "Member": an additional user permitted to use the Service by the Administrator (availability and limits of the member feature vary by service).

Article 2 (Formation of the usage agreement)

The usage agreement is formed when the User agrees to these Terms, the "Privacy Policy" and the "Data handling guidelines" and completes the Company's prescribed application procedure (including Stripe payment).

If a minor uses the Service, please obtain the consent of a legal guardian.

Article 3 (Service content)

The Service provides functions according to the specifications of each contracted service.

・Flexsys: business support functions including creating and managing estimates, invoices and receipts, customer management (with business card OCR), project/job management, work calendar, daily sales reports (AI-assisted), internal bulletin board, AI assistant, expense management, photo management, share link issuance and data import. Four plan tiers are available: Solo, Business, Team and Enterprise.

・Nojima Well Diagnosis System: functions including geological AI diagnosis using public data such as Jiban Joho Navi (ground information navigator), prediction of drilling depth, aquifers and water quality, and output of household reports.

The Company may change, add or discontinue Service content with prior notice to Users. However, changes that cause significant disadvantage to Users will be notified at least 30 days in advance.

Article 4 (Fees and payment)

Usage fees follow the fee schedule separately determined by the Company. Fees are monthly (paid in advance) and are paid through the Stripe payment system.

If the payment due date passes, the Company may temporarily suspend access to the Service.

No usage fees are charged during the free trial period. If the account automatically moves to a paid plan after the trial ends, this will be stated clearly in advance.

Article 5 (Account management)

Users must strictly manage their Service account information (email address, password, etc.) at their own responsibility.

The Company bears no responsibility for damages arising from unauthorized use of account information.

The Administrator is responsible for ensuring that Members also comply with these Terms.

Upon termination or cancellation of the Service, data is deleted in accordance with the Company's data retention policy. Users should export necessary data before cancelling.

Article 8 (Data backup)

The Company endeavors to make regular backups but does not guarantee complete preservation of data.

Users are strongly encouraged to back up their data regularly at their own responsibility. The Company bears no responsibility for data loss not caused by the Company's negligence.

Article 9 (Suspension and interruption of the Service)

The Company may temporarily suspend or interrupt the Service in the following cases.

① System maintenance and updates

Article 10 (Disclaimer)

The Company is not liable for damages arising from use of the Service (including data loss, business interruption and lost profits), except in cases of the Company's intentional misconduct or gross negligence.

Even where the Company is liable for damages, the amount is limited to the usage fees the User paid the Company in the most recent 3 months.

Users may request cancellation at any time. Cancellation takes effect at the end of the current month or on the day before the next billing date.

If a User violates these Terms, the Company may terminate the usage agreement without prior notice.
